1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of our mobile application, website, artificial intelligence assistant, and related services (collectively, the "Services") of Cloud Robot LLC ("Company," "we," "our," or "us").

By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use the Services.

If you are using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind such entity to these Terms.

2. Eligibility

You may use the Services only if:

• You are at least 18 years old, or the minimum age required by applicable law in your jurisdiction;
• You have the legal capacity to enter into a binding agreement;
• Your use of the Services is not prohibited under applicable laws.

If you are under the age of majority, you may use the Services only with the consent and supervision of a parent or legal guardian where permitted by law.

3. Account Registration

Certain features require the creation of an account. You agree to:

• Provide accurate, current, and complete information;
• Maintain and promptly update your account information;
• Keep your login credentials secure;
• Be responsible for all activities conducted through your account.

You must immediately notify us of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.

4. Description of AI Services

The Services include artificial intelligence-powered features that generate content, recommendations, responses, summaries, analyses, and other outputs ("AI Output") based on user-provided inputs ("User Input").

AI technologies are probabilistic and may produce inaccurate, incomplete, offensive, biased, or incorrect information. AI Output is generated automatically and may not reflect the views of the Company.

5. Use of Telegram API

Certain features of the Services utilize the Telegram Application Programming Interface ("Telegram API") to enable messaging and related functionality. The Services, to the extent they use the Telegram API, operate as part of the Telegram ecosystem.

Your use of Telegram-related functionality is subject to the applicable Telegram Terms of Service, Privacy Policy and other policies published by Telegram, each as amended from time to time.

You agree to comply with all applicable Telegram requirements when using any Telegram-related functionality made available through the Services.

Certain functionality of the Services depends upon the availability, functionality and technical specifications of the Telegram platform. We may modify, suspend or discontinue Telegram-related functionality where necessary to comply with changes to the Telegram API, Telegram policies or applicable law.

6. No Professional Advice

The Services and any AI Output are provided for informational and general assistance purposes only. The Services do not constitute:

• Legal advice;
• Medical advice;
• Financial or investment advice;
• Tax advice;
• Psychological or mental health advice;
• Professional consulting services.

You should consult qualified professionals before making decisions based on AI Output.

7. User Content

7.1 Ownership: You retain ownership of any content, prompts, files, images, audio, text, or other materials you submit through the Services ("User Content").

7.2 License to Company: By submitting User Content, you grant the Company a worldwide, non-exclusive, royalty-free, transferable license to host, store, process, reproduce, modify, analyze, display, and distribute such content solely for the purpose of providing, maintaining, securing, improving, and developing the Services, as described in our Privacy Policy.

7.3 Responsibility: You are solely responsible for your User Content and represent that you possess all rights necessary to submit it.

8. AI Output Ownership

Subject to applicable law and your compliance with these Terms:

• You may use AI Output generated for you for lawful purposes.
• The Company does not guarantee that AI Output is unique.
• Similar or identical outputs may be generated for other users.

To the extent permitted by law, the Company assigns to you any rights it may have in AI Output generated specifically for your use.

9. Acceptable Use

You agree not to use the Services to:

• Violate any law or regulation;
• Infringe intellectual property rights;
• Harass, threaten, abuse, or harm others;
• Generate unlawful, fraudulent, deceptive, or misleading content;
• Distribute malware, viruses, or harmful code;
• Attempt to gain unauthorized access to systems or accounts;
• Reverse engineer, copy, scrape, or extract source code, models, or datasets;
• Interfere with the operation or security of the Services;
• Generate content promoting violence, terrorism, exploitation, or illegal activities.

10. Telegram Platform Requirements

Where you access or use any functionality of the Services that interacts with the Telegram platform, you acknowledge and agree that such functionality is dependent upon the Telegram API and is subject to Telegram's technical requirements and policies.

You agree that you shall not:

• interfere with, disable, circumvent or impair the normal operation of the Telegram platform;
• interfere with or alter Telegram's core functionality (self-destructing messages, read receipts, typing indicators, online status, etc.);
• use the Services to perform actions on behalf of another Telegram user without authorization;
• use the Services in any manner that violates Telegram policies;
• attempt to circumvent technical limitations or security mechanisms implemented by Telegram.

11. Prohibited AI Uses

You may not use the Services for:

• Automated legal, medical, or financial decision-making without human review;
• Credit, employment, housing, insurance, or similar eligibility determinations where prohibited by law;
• Surveillance activities in violation of applicable law;
• Creation or dissemination of unlawful deepfakes;
• Activities that could reasonably cause physical harm or significant economic harm.

12. Use of Telegram Data

Without limiting the foregoing, where the Services interact with the Telegram platform, you shall not use, access, collect, aggregate, export or otherwise process any data obtained from Telegram through the Services for the purpose of training/retraining AI systems, machine learning models, fine-tuning large language models, or creating datasets intended for AI development.

13. Subscription and Payments

Certain features may require payment. By purchasing a subscription, you agree that fees are charged in advance, plans automatically renew unless canceled, applicable taxes may be charged, and payments are processed by authorized third-party providers. All fees are non-refundable except as required by law.

14. Free Trials

We may offer free trials or promotional access. Unless canceled before the trial period ends, your subscription may automatically convert into a paid subscription.

15. Intellectual Property

The Services, including software, designs, user interfaces, logos, trademarks, and proprietary technology, are owned by the Company or its licensors and protected by intellectual property laws.

16. Third-Party Intellectual Property

The Services may interoperate with third-party platforms, including Telegram. "Telegram" and related logos are property of their respective owners. You shall not represent that your use of the Services is sponsored, endorsed or approved by Telegram unless expressly authorized.

17. Privacy

Your use of the Services is subject to our Privacy Policy. By using the Services, you acknowledge that you have reviewed the Privacy Policy.

18. Third-Party Services

The Services may integrate with third-party services. We do not control and are not responsible for third-party content, services, terms, or privacy practices. Telegram is an independent third-party provider and is not responsible for the Services or AI Output.

19. Service Availability

We strive to maintain reliable Services but do not guarantee uninterrupted availability. We may modify features, suspend access, or perform maintenance without prior notice.

20. Telegram-Related Functionality

Certain features depend upon the Telegram API. Functionality may be modified, restricted, or discontinued resulting from changes to the Telegram API, technical specifications, or legal requirements.

21. Disclaimers

THE SERVICES AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO THE SERVICES OR AI OUTPUT. TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT PAID IN THE PAST 12 MONTHS OR USD $100.

23. Indemnification

You agree to defend, indemnify, and hold harmless the Company from any claims, damages, losses, or expenses arising from your use of the Services, User Content, or violation of these Terms or applicable laws.

24. Suspension and Termination

We reserve the right to suspend or terminate your access to the Services or Telegram-related functionality at any time for violations of these Terms, security risks, or legal compliance requirements.

25. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict-of-law principles.

26. Changes to the Terms

We may modify these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
